1. Acceptance of Terms

By accessing our website at sogammedical.us or using any services provided by SOGAM MEDICAL LLC ("Company," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

The company is managed by Aaron-Nickolaos Zervos. Our registered agent is Northwest Registered Agent LLC at the same address.

3. Services

SOGAM MEDICAL LLC provides healthcare and medical services, including but not limited to patient care coordination, medical consulting, health management programs, and related administrative and clinical services. The specific scope of services rendered to you will be defined in a separate Service Agreement or Statement of Work ("Agreement").

4. Eligibility

You must be at least 18 years of age and have the legal capacity to enter binding contracts in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization.

5. Accounts & Client Portals

Certain Services may require account registration. You agree to: (a) provide accurate and complete information; (b) maintain the confidentiality of your credentials; (c) notify us promptly of unauthorized access; and (d) accept responsibility for all activity under your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

6. Fees & Payment

Fees for Services are set forth in your Agreement. Unless otherwise agreed, payment is due in accordance with the schedule in your Agreement. We reserve the right to suspend Services for overdue accounts with reasonable notice. All fees are in U.S. dollars. Applicable taxes are your responsibility unless explicitly stated otherwise.

7. Refunds & Cancellations

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Refund Policy, the Refund Policy governs refund-specific matters.

8. Intellectual Property

All content on this website — including text, graphics, logos, and software — is the property of SOGAM MEDICAL LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

Deliverables created specifically for you under an Agreement shall be owned as set forth in that Agreement. Where not specified, we retain all intellectual property rights in our methodologies, tools, and general knowledge.

9. Prohibited Conduct

You agree not to: (a) use our Services for any unlawful purpose; (b) attempt to gain unauthorized access to our systems or data; (c) transmit malicious code or disruptive content; (d) impersonate any person or entity; (e) misuse confidential information obtained through our Services; (f) interfere with the integrity or performance of our Services.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOGAM MEDICAL LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless SOGAM MEDICAL LLC and its members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to our Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

Either party may terminate an Agreement or service engagement as specified in the applicable Agreement. We reserve the right to suspend or terminate your access to our website or Services at any time, with or without cause, upon notice where practicable. Provisions of these Terms that by their nature should survive termination shall do so.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt good-faith negotiation for a period of thirty (30) days. If unresolved, the parties agree to non-binding mediation before a mutually agreed mediator in Pinellas County, Florida. If mediation fails, disputes shall be resolved by binding arbitration in Pinellas County, Florida, under rules mutually agreed or those of the American Arbitration Association. The arbitrator's decision shall be final and binding.

Nothing herein prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.

15. Governing Law & Venue

These Terms and any disputes arising from them shall be governed by the laws of the State of Florida, without regard to its conflict of law principles. For matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

16. Changes to These Terms

We may update these Terms periodically. We will revise the "Last updated" date and, for material changes, provide notice via email or a prominent website notice. Continued use of our Services after changes constitutes your acceptance of the updated Terms.
